Contract Types Administered by SPA

Formal Research Contract: a legally binding agreement that outlines the terms and conditions of a research collaboration between two or more parties.

Scope of Work: Defines the specific research, objectives, tasks, and deliverables expected from each party.

Memorandum of Understanding: a contract that outlines the terms and conditions of a project.

A Non-Clinical Confidential Disclosure Agreement, Non-Disclosure Agreement, or Proprietary Information Agreement: outlines the disclosure and use of proprietary information. Essentially, WSU affirms that it will not disclose the other party's confidential information.

Equipment Loan Agreement: outlines the terms and conditions for equipment loaned to WSU.

Allocation of Rights: outlines who owns Intellectual Property before, during, and after a project.

License Agreement: a contract that specifies terms and conditions of use. These contracts are processed when an item is loaned or donated to WSU for a research project. The Purchasing department will process license agreements when an item is purchased.

Please remember to submit an Affirmation Memo with all contracts. The WSU Office of General Counsel, Research Compliance, Export Control, and Technology Commercialization reviews all contracts, as applicable.
